01Agreement

Terms of Service

These terms explain the conditions for accessing and using LocalDesk, including your account, AI-assisted work, responsibilities, and rights.

Agreement and service provider

These Terms of Service (“Terms”) govern your access to and use of LocalDesk's website at localdesk.dev, the LocalDesk desktop app and related services (together, the “Services”), and any purchase you make from LocalDesk.

These Terms are an agreement between you and LocalDesk. In these Terms, “LocalDesk,” “we,” and “us” mean LocalDesk.

You accept these Terms when you create an account, use the Services, or complete a purchase. If you don't agree, don't use the Services or complete a purchase.

Related policies. The Pre-order & Payments policy and the Acceptable Use Policy are part of these Terms. Where the Pre-order & Payments policy addresses a purchase more specifically, it governs that purchase. The Privacy Policy explains how we handle personal information.

Eligibility and accounts

You must be able to form a binding contract under the law that applies to you to create an account or make a purchase. If you use LocalDesk on behalf of an organization, you confirm that you're authorized to accept these Terms for it.

Your account. A LocalDesk account uses your email address and a password, and one email address holds one account. Keep your account information accurate and your password secure, and don't share your account with others. You're responsible for activity under your account that you authorize. Tell us promptly if you believe someone has used it without your permission.

We may suspend or close an account as described in Changes, suspension, and termination.

The LocalDesk service

LocalDesk is an AI-native workspace for planning, executing, and reviewing work. You describe an outcome; LocalDesk turns it into a Mission with a plan you approve and acceptance criteria, and work counts as done once you've reviewed its evidence.

LocalDesk is offered today by pre-order for macOS on Apple silicon. Windows, iOS and Android versions are planned. Features, compatibility, and availability can differ by version, device, and plan.

Planned features. Anything described as planned, in development, or experimental isn't part of the Services until it's released, and it may change before release or not be released. Orbit AGI, LocalDesk's intelligence research initiative, is in development and isn't included in the current LocalDesk release.

AI-assisted work

LocalDesk uses AI models to propose plans, write and change code, run the commands you approve, and summarize results. AI output can be incomplete, inaccurate, or unsuitable for your purpose, even when it looks right.

You stay in control. LocalDesk asks you to approve a Mission's plan and the files it may change, and a run carries out only the commands you approved for it. Review important results, including code, commands, and changes to your files, before you rely on them, publish them, or deploy them.

What AI features send. Some features send selected context, such as repository excerpts and command output, through LocalDesk's backend to the AI model LocalDesk is configured to use. The app asks for your acknowledgement before a run does this. The Privacy Policy explains what is sent and who processes it.

Third-party models. The AI models LocalDesk uses may be provided by third parties, and their availability and behavior can change. LocalDesk doesn't guarantee that any task will be completed successfully.

You're responsible for the systems you connect, the permissions you grant, and the actions you approve.

Your content, outputs, and intellectual property

Your content. “Your content” means the files, repositories, prompts, instructions, and other material you provide to the Services. LocalDesk doesn't claim ownership of your content. You give us permission to host, copy, process, and transmit it only as needed to provide, secure, and support the Services for you, as the Privacy Policy describes.

Outputs. Outputs are the code, text, plans, and other results the Services generate for you. LocalDesk doesn't claim ownership of outputs generated for you. Outputs can resemble outputs others receive, and the law may not protect every output as intellectual property.

Your responsibility. Make sure you have the rights to the content you provide, and that your use of outputs, including code, respects other people's rights and the licenses that apply.

LocalDesk's property. LocalDesk's software, brand, and materials are protected by intellectual property laws. Apart from the rights these Terms give you, buying a product or an access entitlement doesn't transfer any of LocalDesk's intellectual property to you.

Open source. Open-source components in LocalDesk are governed by their own licenses. Any Orbit AGI release will be governed by the license published with it; none has been published yet.

Software and updates

License. While your access is active, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the LocalDesk app on devices you own or control, under these Terms.

Restrictions. Don't copy, modify, distribute, sell, or lease the app, or reverse engineer it or try to extract its source code, except where the law allows it despite this restriction.

Versions and updates. The current release is LocalDesk 0.1.0 for macOS on Apple silicon. It doesn't update itself: when new versions are released, members with active access download them from LocalDesk's Download page while signed in. Versions differ in features, older versions may stop working with LocalDesk's services, and some features need a newer version or a supported device.

Third-party services

The Services rely on third-party providers, including hosting, authentication and database infrastructure, blockchain networks and blockchain data providers, and AI model providers. Their availability can affect the Services.

What you connect. When you connect your own tools, servers, or repositories to LocalDesk, their own terms govern your use of them, and you're responsible for having the right to connect them and for any charges they make.

Wallets and networks. Your wallet and the blockchain networks you pay on are operated by others. LocalDesk doesn't control them, their fees, or their availability.

Links to other sites are for your convenience; LocalDesk doesn't control their content.

Payments and pre-orders

Purchases, including pre-orders, are governed by the Pre-order & Payments policy. It sets out what a pre-order includes, how payments are confirmed, when access becomes available, and how cancellations and refunds work.

Checkout shows the plan, the amount due, and the payment asset and network before you pay.

Acceptable use

You must use the Services lawfully and in line with the Acceptable Use Policy. It explains what you may and may not do with LocalDesk, connected tools, and automated operations, and what happens when it isn't followed.

Availability and limitations

We work to keep the Services available and reliable, but we can't promise that they'll be uninterrupted, error-free, or available in every country or on every device. Maintenance, connectivity, third-party providers, and model availability can affect them.

AI-generated outputs and automated actions can contain errors. Keep backups of important work, use version control for code, and verify results before you rely on them.

Nothing in these Terms excludes or limits a right, a remedy, or a liability that can't be excluded or limited under the law that applies to you.

Changes, suspension, and termination

Changes to the Services. We may add, change, or remove features as LocalDesk develops. If a change materially reduces access you've paid for, we'll tell you and offer the remedies these Terms and the law provide.

Changes to these Terms. We may update these Terms. We'll publish each version here with the date it takes effect, and tell you about material changes before they take effect. Each purchase stays governed by the terms that applied when you made it, unless the law requires otherwise or you agree to a change.

Suspension and termination. We may suspend or end access that's used in breach of these Terms or the Acceptable Use Policy, or where the law requires it. When we do, we'll explain why, unless the law or a security concern prevents it, and tell you about any remedy available to you.

Leaving LocalDesk. You can stop using the Services at any time. To close your account, contact LocalDesk support.

Governing law and disputes

If you live in a country whose laws give you consumer protections that can't be waived by agreement, nothing in these Terms takes those protections away.

If something goes wrong, contact LocalDesk support first, so we can try to resolve it with you directly.
